TERMS OF SERVICE

1. Scope and Applicability
These Terms of Service (“ToS”) govern the provision of professional services by C-Quel Management
Services Private Limited (“C-Quel”, “we”, “us”, or “our”) to clients who engage us through the Website
or otherwise. These ToS supplement the Terms and Conditions governing the use of the Website and
shall be read in conjunction with any specific engagement letter, service agreement, or statement of
work executed between C-Quel and the client.
In the event of any conflict between these ToS and a specific service agreement executed between
C-Quel and a client, the terms of the specific service agreement shall prevail to the extent of such
conflict.

2. Services Offered
C-Quel provides a range of professional compliance and HR-centric solutions, which may include:
• Statutory compliance management under applicable labour and employment laws;
• Licence applications, renewals, and amendments;
• Payroll processing and salary taxation;
• Contract labour management systems (CLMS);
• Compliance audits under the Factories Act, Shops and Establishments Act, and allied
legislations;
• PF Trust Management and Gratuity Trust Management services;
• Employee life cycle management;
• Advisory services on labour law reforms and compliance strategy.
The specific scope of services to be provided shall be as agreed upon in the relevant service
agreement between C-Quel and the client.
3. Engagement Process
Enquiries submitted through the Website do not constitute a binding engagement. A formal
engagement shall come into effect only upon execution of a service agreement or engagement letter
between C-Quel and the client, setting out the scope of services, fees, timelines, and other applicable
terms.
4. Fees and Payment
All fees for services shall be as agreed upon in the relevant service agreement. Unless otherwise
agreed in writing, fees are not standardised and are determined on a case-by-case basis depending
on the nature, scope, and complexity of the engagement. All invoices shall be payable within the
timeframe specified in the applicable service agreement.
5. Client Obligations
The client shall be responsible for providing accurate, complete, and timely information,
documentation, and access as may be required by C-Quel to perform the agreed services. Any delays or failures on the part of the client in providing necessary inputs may impact the timelines and quality
of service delivery, and C-Quel shall not be held liable for any consequences arising therefrom.
6. Confidentiality
C-Quel shall treat all information provided by the client in connection with the engagement as
confidential, subject to the terms of the applicable service agreement, and shall not disclose such
information to any third party without the client’s prior written consent, except where required by law
or regulation.
7. No Professional Advice Through the Website
The content published on the Website, including articles, blogs, updates, and general information
about labour laws and compliance, is intended for general informational purposes only. It does not
constitute legal, tax, financial, or professional advice and should not be relied upon as such. Users are
encouraged to seek qualified professional advice tailored to their specific circumstances.
8. Limitation of Liability
The liability of C-Quel in connection with any services provided shall be governed by and limited to the
terms of the applicable service agreement. In no event shall C-Quel be liable for any indirect,
incidental, special, consequential, or punitive damages arising out of or in connection with any
information published on the Website.
9. Force Majeure
C-Quel shall not be liable for any delay or failure in the performance of its obligations under these ToS
or any service agreement to the extent such delay or failure is caused by circumstances beyond its
reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics,
government actions, war, terrorism, civil unrest, strikes, lockouts, internet or telecommunications
failures, or changes in applicable law or regulation.
10. Governing Law and Dispute Resolution
These ToS shall be governed by and construed in accordance with the laws of India. Any disputes
arising out of or in connection with these ToS shall, unless otherwise agreed in the applicable service
agreement, be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.
